👋 Hey there, future vendor partner!
Before we make beautiful AV magic together, we need you to read and sign this agreement. Don't worry — it's written in plain English, not lawyer-speak. Think of it as the pre-flight checklist before we take off together. Nobody wants to discover the parachute is missing at 10,000 feet.

Who We Are & What We're Doing

AV Rental Miami LLC acts as the middleman — we book the event, land the client, and bring you in to handle the actual equipment delivery, setup, operation, and strike. You own your gear. You run your show. We facilitate the deal.

In legal terms: You are an Independent Contractor — not an employee of AV Rental Miami LLC.

This means we don't owe you a 401k, dental insurance, or a birthday cake. But we will be really nice to you.

Your Equipment, Your Responsibility

Since you own the equipment and you're the one delivering, setting up, operating, and striking it — you are responsible for it. That means:

  • If your gear breaks during the event, that's on you to fix or replace it.
  • If your equipment causes damage to a venue, a person, or someone's beloved vintage lamp, that's your liability.
  • If something gets stolen from your truck, that's not our problem (even though we're genuinely sorry).
  • If you drop a speaker on your foot — we hope you're okay, but that's also on you.
AV Rental Miami LLC is NOT responsible for any loss, damage, injury, or liability arising from your equipment, your actions, or your decisions during any event.

You've Got Insurance (Right?)

You must carry your own general liability insurance and, where applicable, commercial auto insurance covering your vehicle and equipment transport.

Upon request, you agree to provide AV Rental Miami LLC with a Certificate of Insurance. Think of it like showing your ID at the door — standard stuff.

If you don't have insurance and something goes wrong... that's a very uncomfortable conversation we'd all like to avoid. Please have insurance.

Show Up. On Time. Ready.

This one seems obvious, but let's say it out loud:

  • You agree to arrive at the agreed-upon time.
  • You agree to have all equipment in proper working condition.
  • You agree to complete setup before the client's event begins.
  • You agree to complete the strike (teardown) within the agreed window.
If you can't make it or something goes sideways, notify AV Rental Miami LLC ASAP. "ASAP" means right now — not after the event is already a disaster.

You're the Professional — Act Like It

When on-site on a job we booked, you represent AV Rental Miami LLC by extension. So:

  • Be professional. Dress appropriately. Don't show up in flip-flops to a black-tie gala.
  • Be respectful to the client, the venue staff, and other vendors.
  • Do NOT discuss our pricing or margins with the client. (Seriously, don't do this.)
  • Do NOT solicit our clients directly for future business without our written permission.

Payment Terms

We pay you based on what was agreed in writing before the event — via email, text, or a formal quote, whatever we've confirmed together.

Payment is issued within the agreed timeframe after a successfully completed event, once you've submitted your invoice.

No invoice = No payment. Simple math.

If there's a dispute due to performance issues or equipment failure, we'll talk it out like adults. Repeated issues may affect future work together.

Don't Steal Our Clients (It's Rude)

For a period of 24 months after any job completed through AV Rental Miami LLC, you agree not to directly solicit or accept business from our clients for the same or similar services — unless we give you written permission.

We're not trying to lock you up forever. We just believe in the golden rule: don't eat off someone else's plate.

The No-Drama Clause (Indemnification)

In plain English: If something you do (or don't do) during an event results in a claim, lawsuit, or any other legal headache, you agree to handle it yourself and keep AV Rental Miami LLC out of it.

That includes covering any legal fees, damages, or settlements that arise from your work, your equipment, or your team.

We didn't touch it. That's the deal.

Either of Us Can Walk Away

This agreement can be terminated by either party at any time with reasonable written notice — just not in the middle of an event we've already booked together.

That would be very uncool.

If you're not holding up your end, we reserve the right to end the working relationship immediately.

The Governing Law Stuff (We're in Miami, Y'all)

This agreement is governed by the laws of the State of Florida. Any disputes will be handled in Miami-Dade County.

We're not flying to Wyoming to settle anything.
